Partner Terms
The deal between Happy B-Town and the shops that sell on it.
Effective 17 September 2026
In short: you list your shop and your products, customers order through the Happy B-Town app, you accept and pack, our riders deliver and collect the cash, and we pay you out every week. Listing is free right now. These terms say who is responsible for what along the way.
1. Who these terms are between
These terms cover your use of the Happy B-Town Partner app and your listing on the Happy B-Town marketplace. "We" and "us" mean Happy B-Town, operating in Bahria Town, Karachi. "You" means the business that registered the shop and the person who runs its account. Submitting your shop for review means you accept them. The customer terms are separate and apply to the people who buy from you through the app.
2. Registering your shop
- You must be at least 18 and authorised to run the business you register.
- Everything you enter in the onboarding wizard — shop name, address and map pin, opening hours, phone and WhatsApp number, delivery radius — must be accurate and kept up to date. Customers see most of it.
- We ask for both sides of the owner's CNIC, a photo of the shop, and a business licence where one applies. These are used only to verify the shop (see the Partner Privacy Policy).
- One account runs one shop. Keep your password to yourself; you are responsible for everything done from your account, including orders accepted and prices set.
3. Review, approval and staying listed
Every new shop is reviewed by Happy B-Town before it can go live. We may approve it, ask you to change something, or decline it with a reason; you can edit and resubmit. Once approved, you add and edit products freely — there is no per-product review — and your shop appears to customers when you switch it to live in the app.
We may take a shop off the marketplace, temporarily or permanently, if it repeatedly rejects or fails to prepare orders, sells something it may not, receives serious or repeated complaints, provides false information, or breaks these terms. Where we can, we will tell you why and give you the chance to put it right.
4. Listing fee and commission
- Registration and listing are free at the moment, as an early-access offer. Shops that join during the free period keep their free listing for that period.
- We may introduce a listing charge and/or a commission on each order in the future. If we do, the amount will be shown in the app before it applies to you, and you will be told in advance.
- Any commission is deducted from your payout, not charged separately. A payout is always computed at the rate that applied when its orders were delivered; changing the rate never re-opens a past payout.
5. Your catalogue
- Product names, descriptions, images, prices, sizes and weights must be accurate. The price shown when a customer orders is the price that order is settled at, even if you change it afterwards.
- Keep stock and availability current. An item that is shown in stock but cannot be supplied becomes a rejected order and counts against your shop.
- You may not list anything that is illegal to sell, counterfeit, expired, or that you are not licensed to sell. We may remove any listing without notice.
- You keep ownership of the images and text you upload and give us permission to show them in the Happy B-Town apps and website, and in our own promotion of the marketplace, while your shop is listed.
6. Orders
- A new order rings the Partner app and waits for you. Only you can accept an order — Happy B-Town never accepts one on your behalf. Please accept or reject promptly; an order left waiting is a customer left waiting.
- Reject only when you genuinely cannot fulfil the order, and pick the reason honestly. Frequent rejections may lead to your shop being paused.
- Once accepted, prepare the order in the time your shop promises and mark it ready when it is packed. Do not substitute an item with something different without the customer's agreement.
- The customer, you, or Happy B-Town may cancel an order while it is still pending or confirmed. After that, contact support; do not simply leave it.
7. Delivery and pickup
For delivery orders, mark the order ready for dispatch and a Happy B-Town rider will be assigned and will collect it from your shop; you will see the rider's details in the app. For pickup orders, hand the order to the customer at the counter and mark it picked up. You are responsible for the order — its contents, packing and freshness — until it is handed to the rider or the customer; the road is ours.
8. Payments and payouts
- Customers pay cash on delivery to the rider. You do not collect payment for delivery orders. For pickup orders the customer pays you at the counter.
- Cash collected by our riders is held by Happy B-Town and paid out to you once a week, less any commission that applies, with a reference and a per-order breakdown.
- Items the customer refused at the door or that were credited back because they were damaged, missing or not as described are deducted from that payout.
- Check each payout when it arrives and raise any discrepancy with support within 7 days; after that the payout is treated as agreed.
9. Coupons, offers and banners
Discounts you create — coupon codes, offers and promotional banners — are funded by you and deducted from what you receive for those orders. A coupon you publish must be honoured for as long as it is valid. We may remove a promotion that is misleading or breaks the app's rules.
10. Reviews and ratings
Customers can rate and review the orders they receive from you, and those appear on your shop. We do not remove a review because it is unfavourable; we do remove reviews that are abusive, fake or unrelated to the order, and you can report one from the app.
11. Customer information
To fulfil an order you receive the customer's name, phone number, delivery address and any instructions they added. You may use that information only to prepare and hand over that order. You may not store it outside the app, add customers to your own marketing, contact them about anything other than their order, or share it with anyone. Misuse of customer information ends your listing.
12. Running your business
You remain responsible for your shop: the licences and permissions it needs, food-safety and product-safety obligations, weights and measures, and the taxes due on what you sell. Happy B-Town is the marketplace and the delivery service, not the seller of your goods. If a claim is made against us because of something you sold or did, you will cover the resulting costs.
13. Leaving, suspension and closing
- You can take your shop offline at any time from Shop profile & live switch, and come back when you are ready. Orders already accepted must still be completed.
- To close your shop for good, contact support. Outstanding orders are completed, a final payout is made, and your listing is removed.
- We may suspend or end your listing as set out in section 3. Any amount already owed to you is still paid out.
14. What we're responsible for
We are responsible for running the marketplace, dispatching riders to collect the orders you mark ready, and paying out what we have collected on your behalf. The app is provided as it is; we do not promise it will be free of faults or available at every moment, and we are not responsible for lost sales or profits. Our liability to you for any claim is limited to the amount payable to you for the month in which the claim arose, other than where the law does not allow that limit.
15. Changes to these terms
We may update these terms. Material changes — including any change to fees or commission — will be announced in the Partner app before they take effect. Keeping your shop listed after that date means you accept the updated terms.
16. Getting in touch
Anything unclear, or a problem with an order or a payout: WhatsApp or support@happybtown.com, 10:00 AM to 10:00 PM, seven days.
These terms are a plain-language draft reflecting how the marketplace actually operates. They are not legal advice and should be reviewed by a qualified lawyer before being relied upon commercially.
